Partner Terms

Eligibility

You can apply if you create content for, advise or teach Shopify merchants, and you are able to enter into a binding agreement where you live.

You need a valid email address and at least one public profile or website where you reach your audience.

You must be at least 18 years old. You cannot take part if you live in, or are ordinarily resident in, a country or region subject to comprehensive U.S. sanctions or embargoes, or if you are named on a U.S. government restricted-party list. You must also be able to receive payments through one of the payout methods below. Jara staff and their households cannot take part.

Application and approval

To apply, you give us your name, email address, the handle you would like, links to your social profiles or website, your audience size and niche, and optionally a message. A person on the Jara team reviews every application. We may decline an application without giving a reason.

If we approve it, we create your partner account and email you a sign-in link. Your handle becomes your partner link on this site and, by default, your referral code. Jara sets your commission rate and any perk that merchants get with your code.

You sign in with a one-time link sent to your email address, or with Google when your Google account uses the same email address. Keep access to your email account secure: anyone who can read it can sign in as you.

Commission

You earn a lifetime recurring share of the subscription revenue Jara receives from each store you refer, for as long as that store keeps paying for the app. Your commission rate is shown in your dashboard. If Jara changes your rate, the new rate applies to payments received after the change.

A store counts as referred to you when the merchant enters your referral code in the app, or saves their store through your partner link before installing, within the referral window the app allows. The first valid referral of a store is final; Jara corrects an attribution only to fix a mistake.

Commission is calculated only from payments that Shopify has settled to Jara, as reported by the Shopify Partner API, on the net amount it reports, in US dollars, and only for payments made after the store was linked to you. Refunds, credits and negative adjustments reverse the matching commission.

New commission is held for a period, shown in your dashboard, before it becomes payable, so that refunds can be reversed first. Install and subscription events reported by the app are shown only as estimates and never create commission on their own.

Payouts

Payouts are made monthly and manually, to the payout method you saved in your dashboard: bank transfer in Nigeria, international bank transfer, PayPal or Wise.

You are paid when your payable balance reaches the payout minimum shown in your dashboard and your payout details are complete. A smaller balance rolls over to the next payout.

While your partner account is suspended, commission keeps being recorded but is not paid out until the account is reactivated.

Commission is calculated and paid in US dollars. Jara pays the fees its own bank or payment provider charges to send a payout. Any fees your bank or payment provider charges to receive it, and any currency conversion costs, are yours.

You are responsible for reporting and paying your own taxes on commission. Before your first payout we ask for tax information: a Form W-9 if you are a U.S. person, or a Form W-8BEN (individuals) or W-8BEN-E (businesses) if you are not. We may hold payouts until we receive it, may file information returns (such as Form 1099) where U.S. law requires, and may withhold tax only where the law requires it.

Acceptable promotion

Promote Jara honestly and within the rules of the platforms you use. You must not:

• send spam or unsolicited messages, or post your link or code where it is not allowed;
• make misleading claims about Jara, its features, prices or results, or present yourself as Jara or Shopify;
• refer your own store or a store you own or control (self-referral), or pay or pressure merchants to install the app.

Jara detects some of this automatically (for example, a referral code is refused on a store whose email address or domain matches yours) and may reverse commission earned in breach of these terms.

Leaving and termination

You can leave the programme at any time: ask for your account to be deleted in your dashboard under Settings, or email privacy@jarakit.com. The Jara team reviews the request and then erases your personal data; your commission and payout records are kept without your personal details for accounting. A payout that is already in progress is completed before your data is erased.

Jara may suspend or close your partner account if you breach these terms or misuse the programme, and may end the programme. For a breach or misuse, Jara may act immediately and reverses commission earned through it. Otherwise, Jara emails you at least 30 days before closing your account or ending the programme.

When your account is closed or the programme ends, you stop earning commission on payments Jara receives after the closing date. Commission on payments received before that date, other than commission reversed for a breach, is paid to you once its holding period ends, in a final payout even if it is below the payout minimum and provided your payout details are complete.

Liability

Relationship: you take part as an independent contractor. These terms do not make you an employee, agent or partner of Jara, and you may not make promises or sign anything on Jara's behalf.

No guarantee: the programme, the app and this site are provided “as is” and “as available”. Jara does not promise any number of referrals, any amount of revenue or commission, or that this site will always be available or free of errors.

Limitation of liability: to the extent the law allows, Jara is not liable for indirect, incidental, special or consequential losses, or for lost profits or opportunities, arising from the programme. Jara's total liability to you for all claims about the programme is limited to the greater of the commission paid to you in the 12 months before the claim arose and 100 US dollars. Nothing in these terms limits liability that cannot be limited by law, including liability for fraud.

Indemnity: you are responsible for your own content and promotion. If someone makes a claim against Jara because of how you promoted Jara, or because you broke these terms or the law, you will cover Jara's reasonable losses and costs arising from that claim.

Governing law: these terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-law rules. Disputes are decided by the state or federal courts located in Laramie County, Wyoming, unless the law of the country where you live gives you the right to bring a claim in your local courts.

Changes to these terms

We may update these terms. The effective date at the top of this page shows which version applies. We email partners at least 30 days before a material change takes effect, unless the change is required sooner by law. If you keep taking part after it takes effect, the updated terms apply; if you do not agree, you can leave the programme at any time.
